Terms of Service
Effective date: May 18, 2026 — Version 1.0
This document is the binding agreement between StillWater IT Solutions Inc. ("StillWater," "we," "us," "our") and the customer ("you," "your," "Customer") who registers for, purchases, or accesses the StillWater Academy online training platform (the "Service").
By creating an account, purchasing a subscription, or accessing any part of the Service, you agree to these terms. If you are agreeing on behalf of a business, you confirm you have the authority to bind that business to this agreement.
Read this entire document before purchasing. The refund policy in Section 7 applies to every purchase.
1. Definitions
Service
The StillWater Academy platform — all 14 modules, quizzes, resources, the AI Policy generator, certificates, and supporting features at thestillwateracademy.com.
Subscription
A paid annual right to access the Service for the number of Seats purchased.
Seat
Access for one named individual Learner. Tied to one person; cannot be shared.
Learner
An individual who holds a Seat and uses the Service.
Tier
The pricing band based on Seat count: Preview, Solo, Studio, Office, Organization, or Enterprise.
Account Owner
The individual or business responsible for billing, Seat assignment, and agreement acceptance.
Content
All lesson text, video, images, diagrams, downloadable resources, templates, and software in the Service.
2. Account Registration and Eligibility
- —You must be at least 18 years of age to create an account.
- —You agree to provide accurate, current information at registration and keep it up to date.
- —You are responsible for maintaining the confidentiality of your login credentials and for any activity under your account. Notify us at support@thestillwateracademy.com within 24 hours of any unauthorized access.
- —One Seat equals one named Learner. Sharing credentials, transferring Seats without notice, or granting access to multiple users is grounds for immediate suspension without refund.
3. Subscription Tiers and Pricing
Subscriptions are sold annually with per-Seat pricing. Tiers apply automatically based on total Seat count at purchase:

Subscriptions renew annually at the same per-Seat price of the original Tier. All prices are in Canadian dollars and exclude applicable taxes (GST/HST/PST). Price changes do not affect the current term; renewal pricing changes require 30 days' notice.
4. Seat Management
- —The Account Owner assigns Seats to specific Learners through the administrative interface.
- —Seats may be reassigned only when the original Learner has left your business. Reassignment to rotate access among users is not permitted.
- —Additional Seats may be added mid-term on a prorated basis. If the addition moves you into a higher Tier, the higher rate applies at the next renewal.
- —Seats may not be removed mid-term. Reductions take effect at renewal.
5. Automatic Renewal
- —Subscriptions renew automatically on the anniversary of the purchase date at the same per-Seat rate, subject to pricing changes notified 30 days in advance.
- —You may cancel auto-renewal at any time through account settings or by emailing support@thestillwateracademy.com at least 7 days before renewal. Access continues through the end of the paid term.
- —If payment fails at renewal, we will retry within 14 days. If payment cannot be collected, access will be suspended. Reactivation is at then-current pricing.
6. Payment Terms
- —Payment is due in full at purchase. Processed through Stripe. By providing payment information you authorize StillWater and Stripe to charge the applicable amount plus applicable taxes.
- —Accepted methods: credit card and debit card. Annual net-30 invoicing is available for Organization and Enterprise tiers on request.
- —Failure to pay a renewal or invoice results in suspension. Accounts more than 60 days past due may be terminated.
7. Refund Policy
This refund policy is the entire policy. No exceptions are made outside the terms stated below.
7.1 Initial purchase — 14-day window
A full refund is available within 14 calendar days of purchase, provided:
- —Fewer than 4 modules have been completed across all Learners on the Subscription (a module is "completed" when its quiz is passed at ≥ 80%).
- —No certificate of completion has been issued.
- —No AI Acceptable Use Policy PDF has been generated and downloaded.
To request: email support@thestillwateracademy.com with your account email and order reference. Refunds process within 10 business days to the original payment method.
7.2 After 14 days or substantial use
No refund is available once the 14-day window has passed, 4+ modules have been completed, a certificate has been issued, or an AI Policy PDF has been generated. Non-refundable reasons include change of mind, staff departure, underuse, or dissatisfaction after access begins.
In genuine hardship or material service failure, StillWater may at its sole discretion offer a partial refund, credit, or extension. Contact support@thestillwateracademy.com. Discretionary remedies are not guaranteed.
7.3 Renewal refunds
Renewals are refundable in full within 7 calendar days of the renewal charge, provided no Learner has accessed the Service after the renewal date. After 7 days or upon first access, renewals are non-refundable.
7.4 Mid-term Seat additions
Prorated Seat addition charges are refundable within 14 days of the addition date if no Learner has been assigned. Once assigned, those Seats are non-refundable for the remainder of the term.
7.5 Service failure
If the Service is unavailable for more than 48 consecutive hours due to StillWater's fault, or if StillWater terminates the Service without cause, you are entitled to a prorated refund of the unused portion of your Subscription.
7.6 Chargebacks
If you initiate a chargeback without first contacting us and allowing 10 business days to resolve the issue, we reserve the right to suspend your account and contest the chargeback in full.
8. Acceptable Use
You agree not to:
- —Share Seat credentials with anyone other than the named Learner.
- —Resell, sublicense, or redistribute access to the Service.
- —Copy, reproduce, or create derivative works from Content, except as expressly permitted (e.g., internal use of your generated AI Policy PDF).
- —Use the Service to develop a competing product.
- —Reverse engineer, decompile, or scrape the Service.
- —Use bots or automated tools to access the Service outside of documented APIs.
- —Upload content that infringes third-party rights or is unlawful or defamatory.
- —Interfere with or disrupt the integrity or performance of the Service.
Violation is grounds for immediate suspension or termination without refund.
9. Intellectual Property
All Content — lesson text, videos, diagrams, quizzes, templates, policies, software, and the StillWater name and logo — is owned by StillWater IT Solutions Inc. or its licensors and protected by Canadian and international intellectual property law.
You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for internal business and learning purposes during your paid Subscription term.
AI Policy PDF: you receive a perpetual, royalty-free licence to use, distribute, and adapt the generated policy within your own business. You may not resell it or the generator.
Certificate of completion: remains valid as a record of completion even after your Subscription expires.
10. Privacy and Data
Our handling of personal information is governed by our Privacy Policy, incorporated into these Terms by reference.
In summary: we collect registration data, usage data, payment metadata, and form submissions. We use this to provide and improve the Service, communicate with you, and comply with legal obligations.
We do not sell your personal information and do not use your data to train any AI model. Data is stored on infrastructure operated by Base44 and may be processed in Canada and the United States.
11. Disclaimers
Content is educational and informational only — not legal, financial, tax, or professional advice. The AI Policy generated by the Service is a starting template and should be reviewed with legal counsel. StillWater is not your lawyer.
You are responsible for ensuring your AI use complies with PIPEDA, provincial privacy legislation, and any sector-specific regulations applicable to your business.
12. Limitation of Liability
StillWater's total cumulative liability is limited to the amount you paid in the 12 months preceding the event giving rise to the claim.
StillWater is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or fraud.
13. Indemnification
You agree to defend, indemnify, and hold harmless StillWater, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, or your misuse of the Service.
14. Termination
You may terminate your account at any time by emailing support@thestillwateracademy.com. Termination does not entitle you to a refund except as provided in Section 7.
StillWater may suspend or terminate your account immediately and without notice for breach of these Terms, failure to pay, or use that creates risk for StillWater, other customers, or third parties.
Upon termination, your access ends. Account data is retained for a reasonable period for reactivation or legal compliance. You may request deletion as described in the Privacy Policy.
Sections 7, 9, 11, 12, 13, 16, and 17 survive termination.
15. Changes to the Service or These Terms
We may update the Service at any time. Material reductions in functionality during a paid term give you a right to a prorated refund as described in Section 7.5.
We may change these Terms by posting a new version at thestillwateracademy.com/terms. Material changes will be communicated by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia and the federal laws of Canada, without regard to conflict of law principles.
Before formal dispute resolution, both parties agree to attempt good-faith resolution by direct communication for at least 30 days after written notice of the dispute to support@thestillwateracademy.com.
Unresolved disputes are subject to the exclusive jurisdiction of the courts of British Columbia in Vancouver or Surrey. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
17. General Provisions
Entire agreement
These Terms, the Privacy Policy, and any order forms constitute the entire agreement and supersede all prior agreements.
Severability
If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in force.
No waiver
Failure to enforce any provision is not a waiver of the right to enforce it later.
Assignment
You may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or asset sale.
Force majeure
Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, government action, or internet outages.
